Dalmia Bharat, through its wholly-owned subsidiary Dalmia Cement (Bharat), has entered into a business transfer agreement with Jaiprakash Associates and Adani Infra (India) to acquire cement manufacturing assets in Madhya Pradesh and Uttar Pradesh for Rs 2,850 crore.
The acquisition comprises cement plants located at Rewa, Churk, Chunar and Sadwa, with a combined cement production capacity of 5.2 MnTPA and clinker capacity of 3.3 MnTPA. The deal also includes 99 MW of thermal power capacity along with railway siding infrastructure at Rewa and Chunar, besides access to a shared railway siding at Churk.
With this acquisition, Dalmia Bharat’s total cement manufacturing capacity will increase to 54.7 MnTPA. The company’s ongoing expansion projects at Belgaum, Pune and Kadapa are expected to further enhance overall capacity to 66.7 MnTPA by the second and third quarters of FY28.
The transaction is expected to be completed within the next two weeks. Earlier agreements signed between Dalmia Cement (Bharat) and Jaiprakash Associates in December 2022 had faced delays after Jaiprakash Associates entered insolvency proceedings under the Insolvency and Bankruptcy Code (IBC).
The acquisition is expected to strengthen Dalmia Bharat’s presence in the central Indian market while creating long-term opportunities for capacity expansion through integration with the company’s captive mining assets.
